By accepting these terms or by utilizing or placing an order through a MommysHelp Services Inc. (operating as Mommy's Help Services Inc.) application or website ('Mommy's Help'), you hereby represent, warrant, understand, agree to and accept these Terms in their entirety whether or not you register as a user of the Site or Services.

You also acknowledge your acceptance of the terms and conditions outlined below. These terms will govern your use of all related technology and services. Please review these terms carefully prior to accessing or engaging with the services.

1. SCOPE

These terms are applicable to all services provided through the Mommy's Help Services Inc. website or platform, as appropriate.

2. CONTRACTUAL RELATIONSHIP

The following Terms and Conditions (“Mommy’s Help Terms”) regulate your access to and utilization of all platforms, applications, websites, content, products, and services (“Mommy’s Help Services”) made available by MommysHelp Services Inc., irrespective of your location.

PLEASE READ THESE TERMS IN FULL BEFORE ACCESSING OR USING THE MOMMY’S HELP SERVICES.

You indicate your acceptance of these terms by selecting the relevant option, using, or placing an order via any Mommy’s Help-branded application or website, or otherwise providing affirmative consent. Continued access to or use of Mommy’s Help Services Inc. constitutes your agreement to be bound by these Terms, as they may be amended periodically. These Terms establish a legally binding relationship between you and Mommy’s Help Services Inc. If you do not agree to these Terms at any time, you must refrain from accessing or using the Mommy’s Help Services. These Terms expressly supersede any previous agreements or arrangements between you and Mommy’s Help Services Inc. and/or its affiliates. Mommy’s Help reserves the right to terminate these Terms or any service in respect of you or generally cease service or deny access to any portion thereof, at any time and at its sole discretion.

3. ADDITIONAL TERMS

Certain Mommy’s Help Services may be subject to additional terms, including specific policies relating to events, activities, promotions, or particular category of services. Any additional terms and policies are add on to, and shall be form the part of, the Terms and conditions. Such supplemental terms will accompany relevant services and, where applicable, shall take precedence in the event of conflict with the general Terms. Also, service provider terms accepted by you separately constitute distinct agreements between service provider and Mommy’s Help.

4. AMENDMENTS

Mommy’s Help retains the right to modify these Terms & Conditions, as well as any supplemental terms or policies, at its discretion. Amendments become effective immediately upon posting of updated terms and conditions on our website. Your continued use of the website or services following such updates constitutes acceptance of those modifications and consent to be bound my terms and conditions and additional terms. If you disagree with any amendments, you must discontinue use of the Services.

5. THE MOMMY'S HELP SERVICES

Mommy’s Help provides the Services pursuant to these Terms, which comprise a technology platform enabling users to arrange and schedule particular services with independent third-party providers contracted by Mommy’s Help or its affiliates (“Third Party Providers”), or with employees of Mommy’s Help. Offered services may include but are not limited to: (i) Nanny, (ii) Chef, (iii) Housekeeping, (iv) Cleaning, (v) Doulas, (vi) Health Care Aides, or (vii) other customized services as mutually agreed. Unless otherwise stipulated in a separate agreement, the Services are intended solely for personal, non-commercial use.

6. RESTRICTIONS

You shall not:

(i) Remove any copyright, trademark, or other proprietary notices from any part of Mommy’sHelp Services Inc.

(ii) Reproduce, alter, create derivative works based on, distribute, license, lease, sell, resell, transfer, publicly display, perform, transmit, stream, broadcast, or otherwise exploit the Mommy’s Help Services, except where expressly permitted by Mommy’s Help Services Inc.

(iii) Decompile, reverse engineer, or disassemble Mommy’s Help Services Inc., except as allowed by law.

(iv) Link to, mirror, or frame any segment of Mommy’s Help Services Inc.

(v) Launch or instigate the launch of any programs or scripts for data scraping, indexing, surveying, or mining, or otherwise unduly burden or compromise the operation or functionality of any aspect of the Mommyshelp Services Inc.

(vi) Attempt unauthorized access to or impair any aspect of Mommy’s Help Services Inc., or its associated systems or networks.

7. THIRD PARTY SERVICES AND CONTENT

Mommy’s Help Services Inc. may be accessed in conjunction with third-party services and content, including advertising, beyond the control of Mommy’s Help. Separate terms of use and privacy policies may apply. Mommy’s Help does not endorse nor is it responsible or liable for any third-party products or services

8. OWNERSHIP

All rights in the Mommy’s Help Services remain the exclusive property of Mommy’s Help Services Inc. These Terms confer no rights in:

(i) The Services themselves; or

(ii) Any usage or reference whatsoever to the company’s name, logo, product or service names, trademarks, service marks, or those of affiliates and stakeholders—including employees, directors, owners, or subcontractors—unless expressly permitted.

9. YOUR USE OF THE MOMMY’S HELP SERVICES

User Accounts

To access most functionality within Mommy’s Help Services, you are required to register and maintain an active personal user account (“Account”). Account holders must be at least 19 years old, or the legal age of majority in their jurisdiction. Registration necessitates provision of accurate personal information, including legal name, address, mobile number, age, and a valid payment method. Failure to maintain up-to-date information or a valid payment method may result in loss of access. Users are responsible for all activity under their account credentials and are required to protect their username and password.

User Requirements and Conduct

Accounts may not be assigned, transferred, or authorized for use by third parties. All use of the Services must comply with applicable laws and these Terms. Users must not cause disruption, nuisance, inconvenience, or property damage to any party, including service providers, employees, affiliates, agents, or contractors. In certain circumstances, identification or proof of age may be required; failure to provide such verification may result in denial of service.

10. COMMERCIAL ELECTRONIC MESSAGING

By creating an Account, users consent to receive commercial electronic messages from Mommy’s Help (including email, SMS/Text, or push notifications), both for routine business operations and marketing promotions. Where opt-out mechanisms are impractical (e.g., push notifications), users may opt out by contacting Mommy’s Help Services Inc. at 778 876 2002 during business hours or via email at Info@mommyshelp.ca. Opting out of certain communications may impact use of the Services.

11. PROMOTIONAL CODES

Mommy’s Help may, at its sole discretion, issue promotional codes that may be redeemed for account credits or other features and benefits related to the services provided. You acknowledge and agree that Promo Codes: (i) are to be used only by the intended audience and for the specified purpose, in compliance with applicable law; (ii) may not be duplicated, sold, transferred, or made available to the public (including through public forums), unless expressly authorized by Mommy’s Help Services Inc.; (iii) may be disabled by Mommy’s Help at any time without liability; (iv) are subject to specific terms established by Mommy’s Help for each Promo Code; (v) have no cash value; and (vi) may expire before they are used. Mommy’s Help reserves the right to withhold or deduct credits, benefits, or features obtained through the use of Promo Codes if it reasonably determines or suspects that the Promo Code was used erroneously, fraudulently, illegally, or in violation of the applicable Promo Code terms or these Terms of Service.

12. NETWORK ACCESS AND DEVICES

You are responsible for securing the necessary data network access to utilize Mommy’s Help Services Inc. Standard data and messaging rates or fees from your mobile network provider may apply when accessing Mommy’s Help Services Inc or using its services via a wireless-enabled device; you will be accountable for any such charges. It is your responsibility to obtain and maintain compatible hardware or devices required to access and use Mommy’s Help Services and Applications, including any updates. Mommy’s Help does not warrant that its services, or any part thereof, will operate on all hardware or devices. Furthermore, use of Mommy’s Help Services may occasionally be affected by malfunctions and delays inherent to Internet and electronic communications, and you accept that in such a case, Mommy’s Help shall not be liable for any monetary or non-monetary or direct or indirect.

13. PAYMENT

Use of Mommy’s Help Services incurs charges for the services booked through the Mommy’s Help applications and provided by a service provider. Charges that you pay are considered final and non-refundable, unless otherwise determined by Mommy’s Help Services Inc. Service charges are payable immediately and payment will be handled by Mommy’s Help or an affiliate, using the preferred payment method specified in your account. A receipt will be sent after processing. If your payment method is expired, invalid, or otherwise unable to be charged, the service will not be booked. Service charges may be established or changed at any time at the direction of the service provider, including circumstances where you select additional services or extend booking hours resulting in extra charges. Charges on your payment card statement may appear as being from Mommy’s Help Services Inc. Mommy’s Help or its affiliates may occasionally offer promo codes to certain users, which may result in different amounts charged for the same or similar services or goods. Promo codes are offered without charge, have no cash value, cannot be redeemed for cash, are not exchangeable or transferable, and, unless made available to you, do not affect your use of Mommy’s Help Services or the charges applied to you.

14. GRATUITIES

Service Provider compensation is fully encompassed within the payment structure. Additional gratuities may be offered voluntarily but are not obligatory. Users are encouraged to rate their experience post-service.

15. CANCELLATIONS & REFUNDS

Requests may be cancelled with no penalty if made more than 24 hours in advance. Cancellations within 24 hours of start time booked service of are non-refundable.

In the event the customer ends the service prior to the end of the booking time but where the services have been partially delivered, no refund shall be made on pro-rata basis, under no circumstances.

If Mommy’s help is unable to provide the Services due to unexpected issues e.g. illness, emergency, or other unforeseen circumstances, all payments (including deposit) will be refunded in full, or the booking may be rescheduled, subject to Customer agreement.

16. DISCLAIMERS; LIMITATION OF LIABILITY; INDEMNITY

(A) Disclaimer

THE MOMMYSHELP SERVICES INC ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. MOMMY’S HELP AND ITS AFFILIATES HEREBY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, THAT ARE NOT SPECIFICALLY STATED IN THESE MOMMY’S HELP TERMS (INCLUDING ANY SUPPLEMENTAL TERMS WHERE APPLICABLE). NO REPRESENTATION, WARRANTY, OR GUARANTEE IS MADE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE MOMMY’S HELP SERVICES OR ANY SERVICES REQUESTED BY YOU THROUGH THE USE OF MOMMY’S HELP, NOR THAT THE MOMMY’S HELP SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. MOMMY’S HELP AND ITS AFFILIATES DO NOT WARRANT THE QUALITY, SUITABILITY, SAFETY, OR ABILITY OF THIRD-PARTY PROVIDERS. YOU ACKNOWLEDGE AND ACCEPT THAT THE ENTIRE RISK ARISING FROM YOUR USE OF THE MOMMY’S HELP SERVICES, AND ANY SERVICES REQUESTED VIA THE MOMMY’S HELP SERVICES INC., REMAINS SOLELY WITH YOU TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. MOMMY’S HELP DOES NOT CONTROL, MANAGE, OR DIRECT ANY THIRD-PARTY PROVIDERS. SUCH THIRD-PARTY PROVIDERS ARE NEITHER ACTUAL NOR APPARENT AGENTS, OSTENSIBLE AGENTS, NOR EMPLOYEES OF MOMMYSHELP SERVICES INC. FURTHERMORE, MOMMY’S HELP DOES NOT CONTROL, ENDORSE, OR TAKE RESPONSIBILITY FOR ANY USER CONTENT OR THIRD-PARTY CONTENT THAT IS AVAILABLE ON OR LINKED TO BY THE SERVICES. MOMMY’S HELP CANNOT AND DOES NOT WARRANT THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

(B) Limitation of Liability

MOMMY’S HELP AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF MOMMY’S HELP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MOMMY’S HELP SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE MOMMY’S HELP OR YOUR INABILITY TO ACCESS OR USE THE MOMMY’S HELP; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY SERVICE PROVIDER ( THROUGH MOMMYS HELP.), EVEN IF MOMMY’S HELP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MOMMY’S HELP SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND MOMMY’S HELP SERVICES REASONABLE CONTROL OR FORCE MAJURE. TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICES FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION CANNOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES BOOKED. THE MOMMY’S HELP SERVICES MAY BE USED BY YOU TO REQUEST AND SCHEDULE SERVICES, BUT YOU AGREE THAT MOMMY’S HELP DOES NOT PROVIDE ANY LOGISTICS OR TRANSPORATION OR GOODS OR DELIVERY SERVICES AND HAS NO RESPONSIBILITY OR LIABILITY TO YOU RELATED TO ANY TRANSPORTATION, GOODS, DELIVERY OR LOGISTICS SERVICES PROVIDED TO YOU BY PROVIDERS OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS OR THE MOMMY’S HELP TERMS. THE LIMITATIONS AND DISCLAIMER IN THIS SECTION DO NOT PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

(C) Indemnity

You agree to indemnify and hold harmless MommysHelp Services Inc. and its affiliates, stakeholders, officers, shareholders, directors, employees, and agents from all claims, demands, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from or in connection with: (i) your use of the services; (ii) your breach of these Terms; (iii) Mommy’s Help’s use of your User Content; or (iv) violation of third-party rights, including those of service providers.

17. GOVERNING LAW

These Terms are governed exclusively by and construed in accordance with the laws of the Province of British Columbia and applicable Canadian federal law, without regard to conflict of law principles.

18. DISPUTE RESOLUTION

Important: Carefully review the following arbitration requirement. YOU WILL HAVE TO RESOLVE DISPUTES THROUGH ARBITRATION. YOU WILL NOT BE ELIGIBLE TO GET MONEY OR OTHER RELIEF THROUGH A COURT PROCEEDING.

19. ARBITRATION REQUIREMENT

You retain the right to seek legal advice concerning this arbitration provision. Unless prohibited by law, any dispute related to: (i) these Terms; (ii) the Mommy’s Help Services; (iii) your access to or use of applications; or (iv) related advertisements or statements, shall be resolved definitively by arbitration under the applicable Arbitration Rules of Canada, Arbitration shall proceed in English and may occur at a site selected by the arbitrator, including remotely.

Before initiating arbitration, parties must attempt good faith negotiation for a period of at least 30 but no more than 45 days, extendable upon mutual agreement. Limitation periods are suspended during negotiations.

Where you allege claims of sexual assault or sexual harassment, you may choose to bring those specific claims in court instead of arbitration. Mommy’s Help agrees to honour your choice of forum with respect to your individual sexual harassment or sexual assault claim but in doing so Mommy’s Help does not waive the enforceability of any other part of this section

This arbitration requirement survives termination of the Agreement and bankruptcy of involved parties. Invalidity of any part of this requirement does not impact the remainder.

20. COPYRIGHT INFRINGEMENT CLAIMS

21. NOTICES

Notices may be communicated by Mommy’s Help via general platform announcement, email to your registered address, or by mail to your account address. Notices to Mommy’s Help should be sent in writing to info@mommyshelp.ca.

22. GENERAL

If any provision of these Mommy’s Help Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Mommy’s Help Terms but the legality, validity and enforceability of the other provisions in these Mommy’s Help Terms shall not be affected. In that event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Mommy’s Help Terms. These Mommy’s Help Terms, including any incorporated policies, constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter. Nothing in this clause limits your rights as a consumer that cannot be excluded under applicable law. In these Mommy’s Help Terms, the words “including” and “include” mean “including but not limited to”.

23. ZERO TOLERANCE

(i) You agree to be available at the site until the full duration of the service unless you are booking as a delegate or you book baby sitting services.

(ii) You agree to ensure complete safety and hygiene at the site of service. Pets shall be reasonably restrained all times, ensuring health and safety requirements of service provider on the site. No exceptions. Failure to provide safe (as deemed by the service provider present on the site) environment shall lead to immediate termination of all services, without any clarification and irrespective of the status of the service, even if the service is in progress. SERVICE PROVIDER SHALL TERMINATE THE SERVICE AND LEAVE IMMEDIATELY. You also agree that Mommy’s Help or its service providers, affiliates, stakeholder’s or any related party shall not be liable for any kind of direct, indirect, financial or non-financial loss in any format. NO refunds allowed.

(iii) Mommy’s Help does not tolerate the use of abusive or coarse language towards any of its affiliates; irrespective of means of communication; including service provider’s, staff, agents. Officers or any other stakeholders. You agree that abuse of any kind, whether verbal or physical, by anyone present at the site for service, shall lead to immediate termination of all services, without any clarification and irrespective of the status of the service, even if in progress. SERVICE PROVIDER SHALL TERMINATE THE SERVICE AND LEAVE IMMEDIATELY. You also agree that Mommy’s Help or its service providers, affiliates, stakeholder’s or any related party shall not be liable for any kind of direct, indirect, financial or non-financial loss in any format. NO refunds allowed.

(iv) Mommy’s Help does not tolerate the alcohol or drugs by service providers during the service. Service provider must not arrive the job site under the influence of alcohol and / or drugs. If you believe your service provide may be under the influence of drugs or alcohol, please ask the provider to END THE SERVICE IMMEDIATELY. PLEASE ASK THEM TO LEAVE IMMEDIATELY AND REPORT TO MOMMYS HELP TEAM. You can also get in contact emailing infof@mommyshelp.ca or call 778 876 2002.

(v) You agree that at no time you / anyone present at job site and service provider shall collect any personal information about each other, resulting in or causing any action in direct or indirect conflict with the Interest to Mommy’s Help, its services and its affiliates.

MOMMY’S HELP CONSUMER DELEGATED PROFILE TERMS

24. By appointing a trusted contact, you agree that:

(i) A designated trusted contact, such as a personal assistant or caregiver, may request services on your behalf, with charges applied to the delegated payment method. They are also authorized to modify or cancel these services as needed.

(ii) The trusted contact will have access to your account's registered phone number and the details of all past, current, and scheduled services YOU OR they have requested for you through Mommy’s Help. This access includes real-time service location information and receipts for previously rendered services.

(iii) All communications regarding services requested on your behalf will include your trusted contact and the service provider.

(iv) Your trusted contact is not permitted to use your payment method to request services for their own benefit.

(v) Use of the delegated payment method by your trusted contact is subject to the terms and conditions established by the relevant payment method provider. You are responsible for adhering to these terms and accept all associated risks that come with delegating this authority.

(vi) You are liable for all payments, purchases, and transactions made using the delegated payment method, including those initiated by your trusted contact, NO EXCEPTIONS.

(vii) Furthermore, you are accountable for your trusted contact’s actions relating to any services requested via the delegated payment method and acknowledge that noncompliance with the policies or terms and conditions set by Mommy’s Help Services Inc. by either party may affect your account status.

(viii) By designating a trusted contact, you confirm that you have obtained their consent to share their personal information with Mommy’s Help.

(ix) You retain the ability to remove your trusted contacts at any time within your Mommy’s Help profile settings.

(x) You agree to take sole responsibility and to indemnify Mommy’s Help and all its affiliates (Employees, directors, service providers, owners and others as applicable) against any losses arising out of your failure to comply with terms and conditions. NO Refunds allowed.

24 (A). As a trusted contact (i.e. a personal assistant or a caregiver) you agree that:

(i) You are being allowed to request and manage services on behalf of another user (“delegator”) who has appointed you as their trusted contact and delegated use of their payment method to you. You will be able to request, change or cancel services on behalf of the delegator.

(ii) You may only use the delegator’s payment method for services requested on their behalf and with the delegator’s knowledge and consent. Using the delegator’s payment method for services for yourself is a violation of these terms and could result in loss of access to the Mommy’s Help for both you and the delegator.

(iii) You can access services details for all past, present and scheduled services requested by you for the delegator on Mommy’s Help.

(iv) You shall not share any payment information or personal information of the delegator with others.

(v) By requesting a service using the delegator’s payment method, you represent and warrant that your delegator has given you full authority to request a particular service(s).

(vi) You may remove yourself as a trusted contact at any time in your Mommy’s Help profile settings.
